Customer hereby acknowledges and agrees that the Subscription granted herein is a non-exclusive, non-transferable, limited (including, as applicable, by the Subscribed Volume) subscription, and does not transfer or sell to the Customer any ownership of, or rights (e.g. Intellectual Property Rights) in, any of the Software or other Subscribed Materials, and except to the limited extent of such subscription, Customer has not and will not acquire hereunder or in connection herewith (and Customer will not assert that it has acquired hereunder or in connection herewith) any right, title or interest of any kind in or to any of the Software or other Subscribed Materials. The Subscribed Materials furnished under this Agreement are subscribed, not sold, to Customer. Customer’s rights and obligations with respect to the Subscribed Materials are governed by this Agreement. S. and its licensors reserve all rights in and to the Subscribed Materials not expressly granted to Customer under this Agreement.
